To support achievement of the redefined strategic objectives, Ryman is looking for a highly capable Company Secretary to join the team. Do you have the technical background, tenacity and professionalism to step into this interesting and vital governance role?
About the opportunity
The overall purpose of the role of Company Secretary is to provide NZX listed company compliance and legal advice and support to the Chair, Board and individual directors to enable and ensure best practice and optimal governance provided to Ryman. The Company Secretary reports to the Chief Executive but sits outside of the Executive Team, operating as a key advisor to the Chair, Board and individual directors.
In undertaking their purpose, the Company Secretary will, amongst other things:
- Create and maintain excellent working relationships with all members of the Board of Directors together with other key internal and external stakeholders, ensuring a comprehensive understanding of the needs of each person and group.
- Provide (or facilitate) high quality company compliance and associated legal advice to the Board, Chair and individual directors to enable provision of quality governance to Ryman.
- Ensure all regulatory compliance specifically related to the NZX and the statutory supervisor is undertaken as required.
- Ensure all Board, Board Committee and Annual Shareholder Meetings are properly scheduled, delivered and recorded in accordance with requirements.
- Hold in priority, Ryman’s commitment to sustainability, health, safety and wellness.

About you
To be successful as the Company Secretary, you will ideally have practiced as a solicitor or legal counsel and have a sound understanding of company statutory compliance and NZX reporting requirements. You may also have had experience in a Company Secretarial role within a NZX listed company, however we are comfortable to consider alternative, relevant and transferable skills that could be developed into this role.
The deliverables of this role are diverse and given the complexity of the Ryman organisation, require intellectual agility and adaptability. Together with this, you will succeed by bringing capability in stakeholder relationship management, problem-solving and organisation. Mature and considered, you enjoy creating structure and clarity when events or situations appear unclear and at your core, you find real satisfaction in providing exceptional service and empowering and enabling others to perform at a high level. You are the person that the Board will turn to when they need help – with anything!
